1. Acceptance of Terms

By accessing and using the website of Nile Precious Metals Ltd ("we", "us", "our"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use this website or our services.

These Terms apply to all visitors, users, and others who access or use our website and services, including gold trading, export services, and related documentation.

2. Description of Business

Nile Precious Metals Ltd is a licensed gold exporter based in Uganda, specializing in:

• Gold dore bars (85-92% purity)
• Natural gold nuggets (80-95% purity)
• Refined gold (99.5%+ purity)
• Export logistics and documentation services
• Assay and verification services

All transactions are subject to compliance with Uganda regulations, ICGLR certification, and OECD Due Diligence requirements.

3. Eligibility Requirements

To use our services, you must:

• Be at least 18 years of age
• Have legal capacity to enter binding contracts
• Provide accurate and complete identification documents
• Comply with all applicable laws in your jurisdiction
• Not be prohibited from receiving precious metals under any sanctions

4. Account Registration and KYC

Before engaging in transactions, you must complete our Know Your Customer (KYC) verification process:

• Valid government-issued photo identification
• Proof of address (utility bill, bank statement)
• Business registration documents (for corporate entities)
• Source of funds documentation
• Beneficial ownership disclosure (for companies)

We reserve the right to refuse service to anyone who does not complete KYC requirements or fails our compliance screening.

5. Pricing and Payment Terms

Pricing

• Gold prices are based on LBMA spot prices at time of transaction
• Premiums apply based on purity, quantity, and delivery terms
• Prices are quoted in USD unless otherwise agreed
• Prices are valid for the period specified in the quote (typically 24-48 hours)

Payment Methods

• Bank wire transfer (preferred)
• Letter of Credit (LC) for large transactions
• Standby Letter of Credit (SBLC)
• Other methods as mutually agreed

Payment Terms

• Full payment required before shipment for new customers
• Established customers may qualify for net terms upon approval
• All payments subject to clearance before release of goods
• Bank charges and fees are borne by the buyer

6. Orders and Acceptance

The order process is as follows:

1. Buyer submits inquiry or request for quote
2. We provide proforma invoice with specifications and pricing
3. Buyer confirms order and makes payment
4. We verify payment and confirm order acceptance
5. Goods are prepared and shipped per agreed terms

We reserve the right to refuse or cancel any order for any reason, including but not limited to: inability to verify payment, compliance concerns, or product availability.

7. Delivery and Shipping

• Delivery terms are specified in each sales contract (typically FOB Entebbe or CIF destination)
• Shipping is via secure armored transport and air freight
• All shipments are fully insured
• Estimated delivery times are provided but not guaranteed
• Buyer is responsible for import duties and customs clearance at destination
• Risk of loss passes per agreed Incoterms

8. Assay and Quality Assurance

• All gold is assayed before shipment using XRF spectrometry
• Certificate of Assay is provided with each shipment
• Final purity determination may be made at destination refinery
• Discrepancies between provisional and final assay will be reconciled per contract terms
• Buyer has 5 business days to dispute assay results

9. Compliance and Representations

By using our services, you represent and warrant that:

• You are not subject to any international sanctions
• Funds used for purchase are from legitimate sources
• You will comply with all applicable import/export laws
• You will not resell to prohibited parties or jurisdictions
• You understand and accept the regulatory requirements for precious metals trading

10. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the value of the transaction giving rise to the claim
• We are not responsible for delays caused by customs, regulatory authorities, or force majeure events
• Price fluctuations in gold markets are at buyer's risk

11. Force Majeure

We are not liable for failure to perform obligations due to circumstances beyond our reasonable control, including but not limited to: acts of God, war, terrorism, government actions, mining disruptions, refinery closures, or transportation failures.

12. Governing Law and Dispute Resolution

• These Terms are governed by the laws of Uganda
• Disputes shall first be attempted to be resolved through good faith negotiation
• Unresolved disputes shall be settled by arbitration in Kampala under UNCITRAL rules
• The prevailing party is entitled to recover reasonable legal fees

13. Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
